These Terms of Service ("Terms") constitute a legally binding agreement between you and Kritmatta Limited, a company registered in England and Wales (Company Number available on Companies House), concerning your access to and use of our AI automation platform and related services.

By accessing or using our services, including our website, AI agents, automation tools, and any related software or APIs, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our services.

2. Description of Service

Kritmatta Limited (trading as "Krit") provides a no-code AI automation platform that helps businesses automate workflows, manage communications, and improve operational efficiency. Our services include:

  • AI-powered email automation and management
  • Custom AI agent creation and deployment
  • Meeting coordination and intelligent scheduling
  • Message summarisation, analysis, and intelligent routing
  • Workflow automation and optimisation
  • Integration with third-party services (Gmail, Slack, HubSpot, etc.)
  • Data processing and analytics
  • API access for custom integrations

3. User Accounts and Registration

To access certain features, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your password and account credentials
  • Use strong passwords and enable two-factor authentication when available
  • Promptly update your account information as needed
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorised use or security breach
  • Not share account credentials or allow others to access your account
  • Be at least 18 years of age or have valid parental consent

4. Acceptable Use Policy

You agree not to use our services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Infringe upon intellectual property rights
  • Transmit malicious code, viruses, or interfere with service integrity
  • Attempt to gain unauthorised access to any systems or data
  • Harass, abuse, discriminate against, or harm any person or entity
  • Send spam, phishing emails, or unsolicited communications
  • Misrepresent your identity, affiliation, or authorisation
  • Use the service for illegal activities or to promote illegal content
  • Reverse engineer, decompile, or attempt to extract source code
  • Exceed rate limits or use the service in a manner that degrades performance
  • Scrape, mine, or harvest data without explicit permission
  • Create competing products using our services or proprietary information

5. AI Services and Content Generation

When using our AI services, you acknowledge that:

  • AI-generated content may contain errors or inaccuracies
  • You are responsible for reviewing and verifying all AI-generated content
  • AI agents operate based on your configurations and instructions
  • We do not guarantee specific outcomes or results from AI operations
  • You must comply with applicable AI and automated decision-making regulations
  • You retain responsibility for all content generated on your behalf
  • You must not use AI services to generate harmful, illegal, or misleading content

6. Intellectual Property Rights

The service and its original content, features, and functionality are owned by Kritmatta Limited and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit through our services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to use, process, store, and analyse your content solely for the purpose of providing and improving our services.

Any feedback, suggestions, or ideas you provide about our services become our property and may be used without compensation or attribution.

7. Data Handling and Processing

What Data We Process

When you use our services, we process:

  • Account and profile information you provide
  • AI agent configurations and workflow definitions
  • Chat conversations and message content
  • Execution history and activity logs
  • Knowledge extracted from your interactions

  • Execute the AI automation workflows you configure

While we implement security measures, no system is completely secure. You acknowledge the inherent risks in data transmission and storage.

9. Payment Terms and Billing

For paid services, you agree to:

  • Provide current, complete, and accurate billing information
  • Pay all charges at the prices in effect when incurred
  • Authorise automatic billing for subscription services
  • Pay all applicable taxes and fees
  • Maintain valid payment methods on file

Subscription fees are billed in advance on a monthly or annual basis. All payments are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to change pricing with 30 days advance notice.

Failure to pay may result in service suspension or termination. You remain responsible for any unpaid amounts.

10. Service Level and Availability

While we strive for high availability, we do not guarantee uninterrupted service. We may:

  • Perform scheduled maintenance with advance notice when possible
  • Implement emergency maintenance without notice
  • Modify, suspend, or discontinue features with reasonable notice
  • Impose usage limits or throttling to maintain service quality

Service level agreements (SLAs) for enterprise customers are governed by separate agreements.

11. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the use of services. This includes:

  • Technical specifications and API documentation
  • Business processes and workflows
  • Customer data and analytics
  • Pricing and commercial terms not publicly available

12. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that the service will be error-free, secure, or operate without interruption. You use the service at your own risk.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KRITMATTA LIMITED SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Business interruption or loss of business information
  • Third-party claims against you
  • Failures caused by factors outside our reasonable control

Our total aggregate liability for all claims under these terms shall not exceed the greater of £100 GBP or the amount you paid to us in the 12 months preceding the claim.

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify, defend, and hold harmless Kritmatta Limited, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use or misuse of our services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or data processed through our services
  • Your use of AI-generated content

15. Termination

Either party may terminate these Terms:

  • For convenience with 30 days written notice
  • Immediately upon material breach that remains uncured after notice
  • Immediately for violations of law or these Terms

Upon termination:

  • Your access to the service will cease
  • We may delete your data after a retention period
  • You remain liable for any outstanding payments
  • Provisions that should survive termination will remain in effect

16. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You may not use or export the services in violation of UK export laws or any other applicable laws.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

For eligible disputes, you may also have rights under the UK's Alternative Dispute Resolution (ADR) schemes.

18. General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and Kritmatta Limited regarding the service and supersede all prior agreements and understandings.

Severability

If any provision is found unenforceable, the remaining provisions shall continue in full effect.

Waiver

No waiver of any term shall be deemed a further waiver of any term, and failure to assert a right shall not constitute a waiver of that right.

Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.

Force Majeure

Neither party shall be liable for delays or failures due to causes beyond their reasonable control, including acts of God, natural disasters, war, terrorism, pandemic, or internet service failures.

19. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via:

  • Email to your registered address
  • Prominent notice within the service
  • Update to the "Last updated" date

Your continued use after changes take effect constitutes acceptance of the modified Terms. If you disagree with changes, you must discontinue use of the service.

20. Beta Services and Features

We may offer beta, preview, or early access features ("Beta Services") that are:

  • Optional and provided for evaluation purposes
  • Subject to additional terms when applicable
  • Provided without warranties or SLAs
  • Subject to change or discontinuation without notice
  • Not recommended for production or critical use cases
